Terms of Use

These Disclaimer & Terms of Use (“Terms”) govern SHARPe & Steady™ products and resources provided by Johnna Sharpe LLC. SHARPe & Steady™ is a product brand of Johnna Sharpe LLC. These Terms apply regardless of the website, domain, platform, storefront, or delivery method through which a product is purchased, delivered, or accessed.
By purchasing, receiving, accessing, downloading, or using a SHARPe & Steady™ product, the Purchaser, the licensed organization, and its authorized users agree to the applicable provisions of these Terms.
1. Educational and Operational Guidance
SHARPe & Steady™ materials are provided for educational, informational, and operational purposes. They reflect practical experience and generally applicable practices but cannot account for every organization’s circumstances, policies, systems, contractual requirements, or legal and regulatory obligations.
The materials are not legal, accounting, auditing, tax, cybersecurity, or other professional advice and are not a substitute for advice from the organization’s attorney, auditor, accountant, information technology professionals, or other qualified professionals when appropriate.
The organization remains responsible for its decisions, records, financial reporting, internal controls, compliance, policies, procedures, and operations.
2. Use Professional Judgment
Templates, examples, worksheets, spreadsheets, checklists, and other resources are starting points designed to make the work easier and more manageable.
Review and adapt them as appropriate for your organization before relying on them. The licensed organization is responsible for determining whether a resource is appropriate for its circumstances and for reviewing the accuracy and completeness of information entered into or produced from the materials.
3. Keep Your Data in Your Environment
SHARPe & Steady™ products are designed to be downloaded and used within the licensed organization’s approved technology environment. Store and work with the files on the organization’s approved network, shared drive, SharePoint site, Teams environment, document management system, or other authorized system.
The organization is responsible for maintaining appropriate security, access controls, backups, retention practices, and data-handling procedures for its systems and information.
Do not upload or send completed or working files containing organizational data to SHARPe & Steady™ or Johnna Sharpe LLC for product support. When requesting support, use the original blank SHARPe & Steady™ file, describe the issue, or provide an appropriately sanitized example or screenshot that does not contain confidential, sensitive, personally identifiable, financial-account, or other protected information.
4. Product Support
Product support is intended to help customers understand and use SHARPe & Steady™ products.
Support does not include review, validation, correction, or approval of an organization’s completed records, financial information, accounting conclusions, audit workpapers, legal compliance, or other organization-specific work unless separately agreed to in writing.
Providing product support does not transfer responsibility for the organization’s work or decisions to Johnna Sharpe LLC. Additional professional services are not included with a product purchase and, when available, require a separate written engagement.
5. Intellectual Property and License
SHARPe & Steady™ products and materials are proprietary intellectual property of Johnna Sharpe LLC or the applicable third-party owner and are protected by applicable intellectual-property laws. Products are licensed, not sold. Purchase, receipt, completion, modification, or customization does not transfer ownership of the underlying intellectual property.
Unless different terms are expressly provided for a particular product, use is governed by the SHARPe & Steady™ Organization Internal Use License Agreement.
The organization identified at checkout or in the issuance record is the Licensee. An employee may personally pay for the product, but personal payment does not create an individual license. The license belongs to the organization named in the order record.
Authorized employees may use and customize the materials throughout the licensed organization and store them on the organization’s approved internal systems. Auditors, consultants, contractors, attorneys, accountants, temporary personnel employed by another entity, vendors, associations, professional service providers, and other outside parties are not included in the license.
The underlying Licensed Materials may not be shared outside the licensed organization without prior written authorization from Johnna Sharpe LLC. This restriction applies to original, blank, completed, customized, reformatted, translated, or modified files and to excerpts, screenshots, and other reproductions that reveal a substantial portion of the materials.
The organization may use its independent Organization Work Products and final outputs expressly designated for governing-body, regulator, oversight-agency, or public use as permitted by the applicable License. That permission does not extend to blank or editable templates, instructions, supporting files, or other underlying Licensed Materials.
Redistribution, resale, sublicensing, publication, public posting, repackaging, use with another organization, or use to provide services to another organization is prohibited except as expressly permitted by the applicable License. Attribution or credit does not authorize an otherwise prohibited use.
LICENSE STANDARD
One license = one organization, not one user.
6. No Guarantee of Results
SHARPe & Steady™ materials are designed to help organizations improve planning, organization, execution, communication, and operational practices.
Results depend on circumstances outside the control of Johnna Sharpe LLC, including the accuracy and completeness of organizational records, staff actions, management decisions, third-party performance, system capabilities, auditor requirements, regulatory requirements, and implementation of the materials.
Johnna Sharpe LLC does not guarantee a particular operational, financial, regulatory, audit, or other outcome from use of the materials.
7. Errors, Updates, and Changes
Reasonable efforts are made to provide useful and accurate materials. Laws, regulations, professional standards, governmental requirements, technology, and practices may change, and materials may not reflect every subsequent development.
Johnna Sharpe LLC may correct, revise, update, replace, or discontinue products or resources at its discretion. Unless specifically included with a purchase, access to future versions, updates, enhancements, or replacement products is not guaranteed.
8. Limitation of Responsibility
To the extent permitted by applicable law, Johnna Sharpe LLC is not responsible for losses, damages, penalties, audit findings, reporting errors, missed deadlines, data loss, security incidents, or other consequences resulting from an organization’s use, misuse, modification, implementation, or reliance on the materials.
Nothing in these Terms excludes or limits responsibility that cannot legally be excluded or limited under applicable law.
9. Relationship to Other Terms
The Organization Internal Use License governs intellectual-property ownership and permitted use. The Privacy Policy governs personal information. The Digital Product Refund Policy governs refunds. Product Support explains the support included with a purchase. Product-specific terms may establish additional conditions for a particular product.
If product-specific terms conflict with these Terms, the product-specific terms control for that product. Consulting, professional services, and custom work are governed by a separate written agreement.
10. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
